Scouts Canada (NL) Trust Foundation Inc.

Scouts Canada (Newfoundland and Labrador) Trust Foundation Inc. manages a portfolio of investments held for the benefit of Scouting in the province. It also manages the Eric Russell Memorial Fund and the Cuboree Fund to support members needing financial assistance to attend camps and jamborees.

The corporation is a registered charity. Like all registered charities, it files an annual return with the Canada Revenue Agency. Copies of the annual returns are accessible by searching the corporation’s name on the Canada Revenue Agency website.

Incorporation

The corporation was incorporated in 1994 under the name “Boy Scouts of Canada (NFLD) Trust Foundation Inc.”. It is a corporation without share capital incorporated under the laws of Newfoundland and Labrador. Corporations without share capital are often called non-profit corporations. Its Articles of Incorporation set out the basic structure of the corporation.

Governance By-law (By-law No. 1)

The corporation is governed designated members of the Newfoundland and Labrador Council, called Voting Members. They elect the directors of the corporation. The directors set policy and elect officers to manage its operations.

All corporations have a by-law which sets out general management and operational principles. The corporation’s current governance by-law, By-law No. 1, was enacted in 2021 to set the general governance principles for the corporation. The members of the corporation referred to in the by-law are the members entitled to vote at its meetings.

Bursary Fund By-law (By-law No. 2)

The Council created the Bursary Fund to manage existing investments and to receive donations from interested individuals to support youth attending provincial, national, international, and world events for their sections.

General Fund By-law (By-law No. 3)

The Council created the General Fund to manage existing investments and to receive donations from interested individuals to support other activities and to maintain the Russell Fund and the Cuboree Fund on their present terms.
